Terms of Service

Welcome to AmorPay! These Terms of Service ("Terms") govern your use of our web-based payroll and tax administration services (the "Service").

By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Service.

1. Description of Service

AmorPay, PB LLC ("we," "us") provides a platform for household employers ("you") to manage payroll, process wage payments, and automate tax filings for your household employees.

We are not a law firm or accounting firm and do not provide legal or tax advice. Our Service is a payroll processing tool. You are responsible for your own compliance with all applicable employment and tax laws.

2. Eligibility

You must be at least 18 years old and a resident of the United States to use our Service. You represent and warrant that you are a "household employer" and will use the Service only for that purpose.

3. Your Responsibilities as an Employer

Our Service depends on the information you provide. You are solely responsible for:

  • Accuracy: Providing and maintaining complete, accurate, and timely information for yourself, your employees, and your bank accounts. This includes all wage information, hours, employee SSNs, and tax withholding details.
  • Sufficient Funds: Ensuring your designated bank account has sufficient funds to cover all payroll, tax payments, and service fees on or before the processing date. You are responsible for any overdraft fees or penalties.
  • Timely Approval: Approving all payroll and tax information by our stated deadlines.
  • Review: Reviewing all pay stubs, tax forms, and reports for accuracy. You must notify us immediately of any errors.
  • Legal Compliance: Complying with all federal, state, and local laws regarding your employees, including minimum wage, overtime, sick leave, and providing required notices.

4. Fees and Payment

You agree to pay all subscription and processing fees associated with your use of the Service. We will charge your designated bank account or payment method as outlined in your subscription plan. All fees are non-refundable unless required by law.

5. Account Security

You are responsible for safeguarding your account login credentials. You must notify us immediately of any unauthorized use of your account. You agree to any security measures we implement, such as two-factor authentication (2FA).

6. Prohibited Conduct

You may not use our Service to:

  • Conduct any fraudulent or illegal activity.
  • Process payroll for any purpose other than for household employees.
  • Reverse-engineer, decompile, or attempt to access our source code.
  • Upload any viruses, malware, or other malicious code.

7. Termination

You may cancel your account at any time by following the instructions in your account settings.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause. We will specifically terminate your account if you violate these Terms, fail to pay fees, or use the Service for fraudulent purposes.

8. Disclaimers and Limitation of Liability

No Warranty. The Service is provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied. We do not guarantee the Service will be error-free or uninterrupted.

No Legal or Tax Advice. We are a processor, not an advisor. You are solely responsible for seeking advice from qualified professionals regarding your tax and legal obligations as an employer.

Limitation of Liability. To the fullest extent permitted by law, AmorPay, PB LLC (including its officers, directors, and employees) will not be liable for any indirect, incidental, special, or consequential damages (such as lost profits or data).

Our liability for any and all claims related to the Service is limited to the fees you paid to us in the three (3) months immediately preceding the event that gave rise to the claim.

User Error. We are not responsible for any penalties, interest, or other liabilities you incur that result from:

  • Your failure to provide accurate and timely information.
  • Your failure to maintain sufficient funds in your bank account.
  • Your failure to comply with employment laws.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from these Terms will be resolved through binding arbitration in Delaware, rather than in court.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by email or through the Service. Your continued use of the Service after such notice constitutes your acceptance of the new Terms.
